Please read the following important legal information before accessing and/or using our web site. The use of this web site constitutes an agreement to abide by the terms and conditions below, just as if you had signed this Agreement.

UGNO (Cararu's property) may revise this Agreement from time to time by updating this posting with or without reason. Please read very carefully text in red!

We won't tolerate any kind of Autosurf or any other automatic traffic. All accounts with automatic traffic will have to withdraw through Chip sales. Nobody is asking you to upgrade, if you don't want to, than don't upgrade. Members that are buying Marketing Ebook get upgrade for free and no you can't do the charge back because you are buying Ebook which you can download at http://ugno.com/ebook.pdf.

Refund Policy

We have 100% refund Policy in first 96 hours for Members who didn't start using the Services. Member can cancel purchase of E-book for any reason in first 96 hours. After 96 hours refunds are not available.

Payouts

We don't tell people what they want to hear, we actually tell people what they don't want to hear - the truth. We don't pay much per Click or Impression because we are realistic. What Members/Affiliates earn they get paid. When we run out of ads than is nothing to click on anymore and generating Money stops.

Points are evaluated each month depending on conversion rating and quality traffic. Our Advertisers pay for quality traffic and high conversions more than for poor quality traffic and poor conversions. Point value can be over $0.05 or as low as 1 cents, depending on what Members are doing. When some Members are sending poor traffic it lowers the point value and Accounts of such Members are terminated. It's forbidden to use automatic scripts and other immoral or illegal tools to increase the traffic. Net 45 is used because of such cases for security reasons. Payments can be done only through Processors after 45 days of Pro Membership and Payout takes 45 days or more (minimum 90 days for first withdraw), depending on Processor. All who can't or won't withdraw funds through Processors can cash them through Poker games selling chips other Members - Players for $1.00 = 100,000 chips. Members who enter Membership with intent to earn money must agree with that kind of arrangement. UGNO won't make any payouts; Processors do the payouts and Members can sell chips for as much as they want. All accounts using any automatic traffic generators will be ignored about Payouts and can only sell chips to Players.

Active Member

Active Member is a Member who purchases Marketing E-book and reads it; makes at least $3.00 at UGNO each day of the Month. Active Member can withdraw funds monthly on Net 45 when amount is $100.00 or more. Regular Active Member usually earns 3 or more dollars per day without any extra effort.

ugno.com (the "Service") is an online information, products and communications service provided by ugno.com. ("ugno").

Advertisers are not obligated to payout every Pro Member who had Pro Membership at least 45 days. Payouts to Regular Members might be declined by some Advertisers as long as they don’t get minimum 45 days Pro Membership. Advertisers have right to count their Net 45 payout from the day Member became a Pro Member. Every payout no matter how small must be paid out to Pro Members no later than in 180 days. This is for amounts lower than $10, all amounts bigger than $10 must be paid out by the rules in compliance of Net 45 and Pro Membership.

Purchase of the E-book and free Monthly Membership enables Member Account to send messages, earn for clicks and impressions, earn from referrals and run one of partnership jobs. Only Pro Members can use mentioned services. 

Regular Members as other contract coworkers can earn and use limited services, but when they want to withdraw they have to be Pro Member at least 45 days before requesting withdrawal from Advertisers or Processors direct. Every regular Member is just postponing payout for 45 days as long as he/she is running regular account. Direct deposits to UGNO are paid Net 60 (avoiding charge back issues). Regular and/or Pro Membership applies for all Accounts. Member who was declined or ignored by Processors can use only option left for withdraw and manage it through chip sales (can't be used for gambling). UGNO is for online free games and should be treated as such.

Liability and Damages

Contractor and every other Coworker of UGNO is obligated to follow Company Policy, Rules, Terms and Conditions. Contractor and/or every other coworker who causes and loses or damages will be requested to pay back these losses, damages, all legal fees and fine of 150% of his/her scheduled annual pay. Damages as fraud, slander and other criminal activities are carrying heaviness of criminal charges and prison time. Our Partners are paying on Net 15, Net 30, Net 45 and even Net 90, so we match payouts in same time frames for activities which are connected to our Partners. We don't take any responsibility for any Partner, if they from some reason don't pay we don't pay. If everything is in order and you are not getting a payment it means one or more of your referrals used prohibited methods and you should withdraw your payment through Processor. We have responsibility for payouts from processing which are done on time from 5th to 15th each month. Payouts from Chips processing are performed by Processors and Company doesn't interfere in that matter. Every Pro Member who cheats and sends script boots or autosurf traffic to gain more earnings might not get paid at all and might lose the account or if allowed to get paid can withdraw only through Processor. Every Pro Member who's referral (s) use prohibited methods in their activities can get paid only through Payment Processors on their Terms. Pro Member gets paid on time each time, which means Net 45 after closing month. If you are not getting a payment please check your profile for correct address or correct Paypal email. Every Account with any kind of automatic traffic will have to withdraw through Processor or Chip sale. Once Processors are set as Chips brokers they'll be doing exchange in real time and in real Market needs. After October 31st, 2010 there will be option for Members to do own exchange through chips sale instead of withdrawal. Withdrawal ends with October 31st, 2010.

User must: (1) provide all equipment, including a computer and modem, necessary to establish a connection to the Web; and (2) provide for your own connection to the Web and pay any telephone service fees associated with such connection and activation of your account into Pro account.

Every account sending automatic traffic, traffic from browsers which generates automatic impressions and automatic clicks, traffic from autosurfs and/or with any other illegal and immoral methods will be terminated or assigned for chips sale instead of withdrawal, which means Member will be able to withdraw his/her money only by selling chips. Advertisers are using protection software and if they complaint about certain account ugno investigates the account and take safety precautions. Advertisers are paying CPC (Pay per Click) and CPM (Pay per Impression).

Every Member opening profile at ugno agrees to the fact he/she will get automatic promo for his/her profile through impressions. This way more traffic is sent to Members profile, classifieds, Job Auctions, iMatch profile and to all or some other Member’s activities at ugno.

Members Advertisers are paying out Members Publishers direct on the Net 45 basis each amount of $10 or more dollars without ugno interference. All amounts smaller than $10 has to be paid out latest on Net 180 if the Account is being dormant.

Every Member/Affiliates that is delivering more than 30 active referrals per month can apply for Contractor position. ugno offers employment all Members who were working successfully as Contractors at least 3 months.

 

You are solely responsible for the relationship with Advertisers and you agree to communicate, maintain business relationship and request payments direct from Advertisers. You also agree to submit independently from UGNO to third party a recovery claim in case Advertiser is late with payment.

You are solely responsible for the content of your communications with other users of the Service. Your use of the Service is subject to all applicable local, state, national and international laws and regulations. UGNO retains the right, at UGNO's sole discretion, to determine whether or not your conduct is consistent with this Agreement and UGNO's operating rules or policies and may terminate your access to and use of the Service if your conduct is found to be inconsistent with this Agreement, such rules or policies. You acknowledge and agree that UGNO neither endorses the content of any of its user's communications nor assumes responsibility for any threatening, libelous, obscene, harassing or offensive material contained therein, any infringement of third party intellectual property rights arising there from or any crime facilitated thereby. Without limitation, UGNO reserves the right to terminate your access to and use of the Service if, in our view, your conduct or communications:

• contains, promotes or links to sexually explicit or violent material;

• promotes, depicts or links to material that promotes or depicts discrimination based on race, gender, religion, national origin, physical or mental disability, sexual orientation, or age;

• contains unlawful material, including but not limited to materials that may violate another's intellectual property rights, or links to a site that contains such material;

• contains information regarding, promotes or links to a site that provides information or promotes illegal activity;

• is considered by us or any person with access to such content to be obscene, lewd, lascivious, filthy, excessively violent, threatening, harassing or otherwise objectionable, whether or not such material is constitutionally protected; or

• is deemed by us to be unsuitable for any other reason.

You agree to respect the rules and requirements of pay per click and pay per impression programs and you understand that we reserve the right to conclude that your conduct is unsuitable in accordance with our standards, and we may come to such a conclusion even if it is based upon our opinion or mere suspicion or belief, without any duty to prove that our opinion or suspicion is well-founded and even if our opinion or suspicion is proven not to be well-founded or if we allow other users access to the Service despite their communications having the same or similar characteristics as yours. You also understand that by providing any user access to and use of the Service, UGNO in no way endorses user communications as being suitable under the terms of this Agreement.

You acknowledge UGNO is online service which enables Advertisers to interact direct with Publishers and your account must be Pro at least 45 days before you can withdraw your earnings. As a Publisher you agree with minimum $100 payout paid on Net 90 - 180 or if amount is lower than $10 on Net 180. As a Publisher you also agree you'll submit recovery claim with third party immediately to recover your money, all your expenses and penalty charged to Advertiser and paid to you as interest. As a Publisher you agree with minimum $100 payout paid on Net 90 and you agree to Withdraw it in time or Transfer to Playing Chips. If you don't withdraw it until the end of the Month it will be transferred to Past Earnings where you can Transfer it to Playing Chips. As long as you make 1 Dream Car Request per month and play at least 10 games per month you'll be able to Withdraw the money, otherwise you agree for total amount to be transferred to Past Earnings or you transfer it to Playing Chips. Your referrals are not limited how many Car Request they make, you'll be still able to withdraw the amount.

No Advertiser will pay you if your account isn’t Pro. Advertisers have the right and obligation not to pay any Publisher which account isn’t Pro. Read more in Terms. Every Pro account is considered active account. Every Pro referral is Active referral. Account must be Pro to be considered Active Account.

In order to change any of your account information with us, you must use your Password. Please safeguard your Password from any unauthorized use. In no event will UGNO be liable for the unauthorized use or misuse of your Password.

UGNO does not guarantee that files available for downloading through the Service will be free of contaminating or damaging code such as viruses, trap doors and the like. UGNO does not endorse content, nor warrant the accuracy, completeness, correctness, timeliness or usefulness of any opinions, advice, content, services, or merchandise provided through the Service or on the Internet generally. Any details as to products, including product descriptions, benefits, quality and performance are provided by the supplier or manufacturer of the product and are reproduced for the convenience of our users. This information is not verified or substantiated by UGNO and UGNO is not responsible for any inaccuracies or omissions.

You agree that use of our service is entirely at your own risk and Services and Products provided through or in connection with it, are provided "as is" without warranty of any kind. UGNO makes no warranty that the service will meet your requirements. You specifically acknowledge that UGNO is not liable for any defamatory, offensive or illegal conduct of other users or third parties and that the risk of injury from the foregoing rests entirely with you. UGNO can change Terms at any time partially or in full with or without reason. UGNO reserves the right to withhold the monies for a period of 180 days if certain account has suspicious activities. UGNO also reserves the right not to pay whole or any amount to such account. It's courtesy of UGNO to decide which account had illegal activities or activities against compliance with the Terms. UGNO reserves the right to terminate any account without explanation.

UGNO does not guarantee that your information is 100% safe from hackers or loss of information at hardware failure. 100% backups are not always possible and loss of part of the data and/or all data is quiet possible. New technologies are changing the Market all the time and such guarantee would be unreal and commitment to such promise would be impossible. UGNO will in such case try to restore previous status of your files, information and photos. You agree to indemnify and hold UGNO, its partners, agents, affiliates and content partners harmless from any hardware failure and/or hacker attack.

NEITHER UGNO NOR ANY OF ITS PARTNERS, AGENTS, AFFILIATES OR CONTENT PROVIDERS SHALL BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES ARISING OUT OF USE OF THE SERVICE OR INABILITY TO GAIN ACCESS TO OR USE THE SERVICE OR OUT OF ANY BREACH OF ANY WARRANTY.

You agree to indemnify and hold ugno, its partners, agents, affiliates and content partners harmless from any dispute which may arise from a breach of terms of this Agreement. You agree to hold ugno harmless from any claims and expenses, including reasonable attorney's fees and court costs, related to your violation of this Agreement. Any slander will cause immediate account termination.

The materials provided on the Service may be downloaded or reprinted for personal use only. You acknowledge that the Service contains information, software, photos, video, graphics, music, sounds or other material (collectively, "Content") that are protected by copyrights, trademarks, trade secrets or other proprietary rights, and that these rights are valid and protected in all forms, media and technologies existing now or hereafter developed. All Content is copyrighted as a collective work under the U.S. copyright laws, and ugno owns a copyright in the selection, coordination, arrangement and enhancement of such Content. You may not modify, publish, transmit, participate in the transfer or sale, create derivative works, or in any way exploit, any of the Content, in whole or in part. You may not upload, post, reproduce or distribute Content protected by copyright, or other proprietary right, without obtaining permission of the owner of the copyright or of her proprietary right. ugno, ugno.com and its logos are trademarks of ugno. Other products, brands, company names and the like are trademarks of their respective owners.

All ads you post you are responsible for content of your ads, which has to be appropriate and in compliance with these terms. You agree to post only real small classified ads; the same ad in no more than 10 cities per month. You acknowledge the fact that other visitors may terminate your ad with  click on "flag", if it is inappropriate.

You may not reproduce, copy or redistribute the design or layout of this web site, individual elements of the web site design, ugno logos or other logos appearing on this web site, without the express written permission of ugno, Inc. Reproduction, copying or redistribution for commercial purposes of any materials or design elements on the ugno web site is strictly prohibited without the express written permission of ugno, Inc. Images and descriptions of products may be supplied to us by third parties, who reserve all rights in those materials.

This web site is controlled by ugno from its offices in New York City, New York, United States of America. As this web site can be accessed from all fifty states and other countries around the world and each of these places has laws that may differ from those of New York, by accessing this web site both you and ugno agree that the statutes and laws of the State of New York, without regard to the conflicts of laws principles thereof, will apply to all matters relating to use of this web site. You and ugno also agree and hereby submit to the exclusive personal jurisdiction and venue of the Superior Court of New York, and the United States District Court for the District of New York with respect to such matters. ugno makes no representation that materials on this web site are appropriate or available for use in other locations, and accessing them from territories where its contents are illegal is prohibited. Reimbursement Claim

You are not entitled to reimbursement if it is present one or more of following reasons:

- You didn’t add all suggested Advertisers to your Unit

- You didn’t submit reimbursement claim in first two weeks after you leased the Unit

- You earned more than it was your investment

- You paid with stolen or invalid Credit or Check Card

- You did the Charge Back

- You cheated other people

- You misrepresent the business to other people
